MTAC Millionaire is independent and is not affiliated with NYC Public Schools or the City of New York.
These Terms of Service (these “Terms”) constitute a legally binding agreement between you and MTAC Millionaire (“MTAC Millionaire,” “we,” “us” or “our”) and govern your purchase and use of the following products (each, a “Product,” and collectively, the “Products”): The MTAC Proposal Kit (the “Kit”) and How to Write an MTAC Proposal, the 3-hour workshop, recorded (the “Workshop”). As used in these Terms, “you” and “your” refer to the individual or entity that purchases or uses the Products.
1. Acceptance of Terms
By purchasing or using any Product, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree to these Terms, you may not purchase or use the Products.
2. The Products
2.1 The Kit. The Kit includes the Workshop; the E1 / E2 Templates; the Pre-Submit Check, a checklist to be completed before submission; and AI starter prompts for each proposal section. Access to the Kit lasts 1 year from the date of purchase.
2.2 The Workshop. The Workshop is also available for purchase on its own.
2.3 Nature of the Products. The Products are digital products delivered online. The Products provide instruction on how to prepare and submit your own M.T.A.C. proposal. The Products do not write or submit any proposal on your behalf.
3. Access and Security
The Products are accessed through access links issued to you. You are responsible for maintaining the confidentiality of your access links and for all activities that occur through them.
4. Fees and Payment
4.1 Prices. The Kit is offered for $1,997, or 3 payments of $747. The Workshop is offered on its own for $297.
4.2 Payment Processing. Payments are processed by our checkout provider, SamCart.
4.3 Payment Plans. If you choose 3 payments of $747, one payment is charged every 30 days until all three are paid.
4.4 Payment Through Other Companies. If you elect to pay over time through another company offered at checkout, your payments to that company are governed by that company’s terms.
5. Refunds
Refunds for the Products are governed by our Refunds & Cancellations page.
6. Acceptable Use
You may use the Products solely for your own business and for the businesses on whose behalf you work. You shall not share, resell or post the Workshop or any of the files included in the Products.
7. Intellectual Property
7.1 Your Proposals. As between you and MTAC Millionaire, you retain ownership of the proposals that you write.
7.2 MTAC Millionaire Materials. The Workshop, the E1 / E2 Templates, the Pre-Submit Check and the AI starter prompts are the property of MTAC Millionaire. Subject to your compliance with these Terms, you may use them for your business. All rights not expressly granted in these Terms are reserved by MTAC Millionaire.
8. Privacy
Our collection and use of your information is described in our Privacy Policy.
9. AI Starter Prompts and Output
9.1 Use of AI Starter Prompts. The AI starter prompts are provided to assist you in drafting your proposal. Any content generated using the AI starter prompts (“Output”) is provided for informational purposes only and does not constitute legal, financial or other professional advice.
9.2 Your Responsibility. You are responsible for following the Request for Proposal (“RFP”) to which you are responding, as written, and for reviewing every draft against the RFP before you submit it. You are solely responsible for the content of each proposal that you submit.
10. Third-Party Services
Payments are processed by our checkout provider, SamCart, and may also be made through another company offered at checkout, as described in Section 4.4. Your use of any third-party service is governed by the terms of the applicable third party. MTAC Millionaire is not responsible for the availability or operation of any third-party service.
11. Disclaimers
11.1 No Warranties. THE PRODUCTS, INCLUDING, WITHOUT LIMITATION, THE WORKSHOP AND ALL FILES, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
11.2 No Guarantee of Outcome. An M.T.A.C. is obtained by submitting a proposal. Whether a proposal is approved is decided by the City of New York, which accepts proposals on behalf of NYC Public Schools. We give you the best opportunity to win, without a guarantee.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCTS SHALL NOT EXCEED THE AMOUNT THAT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.
13. Indemnification
To the maximum extent permitted by applicable law, you shall indemnify and hold harmless MTAC Millionaire from and against any and all claims, losses, liabilities, damages and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or relating to your use of the Products or your breach of these Terms.
14. Termination
MTAC Millionaire may terminate your access to the Products if you breach Section 3, Section 6 or any other provision of these Terms. Upon any termination, your right to access and use the Products hereunder shall cease.
15. Changes to These Terms
MTAC Millionaire may amend these Terms from time to time. If an amendment is material to your use of the Products that you purchased, we will notify you by email before the amendment takes effect. Your continued use of the Products after an amendment takes effect constitutes your acceptance of the amended Terms.
